PROFESSIONAL FORUM: Corporate Governance and The Accountants’ Role

Introduction

Sound business incorporates more than solid financial performance, successful products and operational efficiency. It begins with a commitment to high ethical standards that define the core values of an organization. To leverage on performance, organizations need to have sound corporate governance which sets the foundation for success in a landscape defined by a rapidly integrated economy with mounting competitive pressures.

Corporate governance defined means a directed and controlled system by which organizations should operate. The aim of corporate governance is to ensure that an organization is run in the interest of shareholders and other stakeholders including employees, suppliers, regulatory authorities and the society in general.

The recent past has witnessed a spate of corporate failures around the world leading to huge losses in investments running into trillion US dollars. In Kenya, the recent crisis in the banking sector and other corporates such as Kenya Airways, Mumias Sugar, Uchumi supermarket and lately retail giant Nakumatt have all been blamed on poor corporate governance.

Corporate governance decisions are largely based or influenced by financial information/statements. This is where the accountant is tagged in – it is the accountants that are involved in the preparation and reporting of the financial statements. The vital questions that emerges is – ‘is the accountants to blame for these corporate failures?’

To dialogue on this topical issue, ICPAK has organized this forum to explore the roles accountants play in enhancing good corporate governance and ethical practices in an organization, as well as interact with colleagues and peers in the field.

National Industrial Training Authority (NITA) Reimbursement

The Institute is registered as a trainer with National Industrial Training Authority. The Institute’s registration number is DIT/TRN/47. Participants who are registered levy contributors should apply to NITA for reimbursement of their fees. Please note that this is applicable for Kenyan citizens only and subject to NITA regulations.
