OVERVIEW

Corporate governance is a set of rules, procedures, and processes that direct and manage a company’s operations. It entails balancing the interests of multiple stakeholders, including shareholders, management, employees, consumers, suppliers, and the community. Effective corporate governance fosters openness, accountability, and ethical decision-making, which builds trust and confidence in the firm.

Leadership, on the other hand, is the process of persuading and encouraging individuals or groups to achieve shared objectives. Leadership is critical in corporate governance because it sets the tone at the top, establishes the organization’s vision and values, and fosters an environment of integrity and responsibility. Effective executives oversee the execution of corporate governance standards, encourage ethical behavior, and drive organizational performance.

Board members play a crucial role in corporate governance, representing the interests of shareholders and making important decisions like corporate officer appointments, executive compensation, and dividend policy. They are often made up of insiders and independent members, helping to dilute power and align shareholder interests. Corporate governance policies should incorporate strategy, risk management, accountability, transparency, and ethical business practices.

Good governance serves as the foundation for effective organizational leadership.  Organizations cannot function efficiently unless they follow good governance standards. Governance refers to the systems by which organizations are managed, controlled, and held accountable.  Key governance concepts are regarded as vital practices in corporate leadership.

This conference therefore is meant to assist delegates understand that corporate governance requires the whole commitment and resolution of the collective board, individual directors, and executive management. This concept paper provides a comprehensive overview of the topics to be covered in the Corporate Governance & Leadership Seminar, with the goal of providing participants with the knowledge and tools they need to navigate the complexities of corporate governance and leadership in today’s business environment

The Institute is registered as a trainer with National Industrial Training Authority. The Institute’s registration number is DIT/TRN/47. Participants who are registered levy contributors should apply to NITA for reimbursement of their fees. Please note that this is applicable for Kenyan citizens only and subject to NITA regulations.
